1. DEFINITIONS

1.1. For the needs of these general contractual and business conditions (hereinafter also referred to as "GTC"), the advertiser is Banging sro, 09683038, Prague, Nové Město, Vojtěšská, postal code 110 00, which is the administrator of the internet server www.banging.cz

1.2. For the purposes of these GTC, the contracting authority means a natural or legal person who has ordered the publication of his advertisement or other forms of presentation from the advertiser.

1.3. For the purposes of these GTC, the processor of an advertisement means a legal or natural person who has prepared an advertisement for himself or for another legal or natural person, which is published by the advertiser according to the client's order.

1.4. For the purposes of these GTC, advertising means advertising, demonstration or other presentation aimed at supporting the business activities of the contracting authority published through the disseminator of advertising on the Internet server www.banging.cz.

1.5. For the purposes of presentation, pictorial materials are non-professional photographs of persons offering erotic or other services. The advertiser reserves the right to decide on the quality and professionalism of the photographs, also reserves the right to refuse to publish professional photographs and to request the contracting authority to send non-professional (amateur) photographs.

1.6. Textual materials mean a verbal description of the contracting authority's tenders and services in accordance with the relevant provisions of Czech law. These materials may not include links to external websites, either in the text itself or as part of the accompanying images. Textual materials must also not include the prices of services, with the exception of the amount of admission to nightclubs and shelters.

2. TERMS AND CONDITIONS

2.1. All contractual business relations between the contracting authority and the advertiser are governed by the relevant provisions of the Czech legal system, in particular Act no. No. 89/12012 Coll., Civil Code as amended, Act. No. 90/2012 Coll., on business corporations, as amended, Act. No. 40/1995 Coll., on the regulation of advertising, as amended, and Act. No. 480/2004 Coll., on certain information society services.

2.2. The advertiser provides the contracting authority with the publication of the advertisement in the form of a data space on the www.banging.cz server in the scope and format as defined by a written or oral order, contract or other expression of the will of the contracting parties. Unless otherwise agreed, advertising means the publication of textual and pictorial materials used to promote the services offered in the form of a presentation of the company, one person and one contact telephone number. The advertiser provides the contracting authority with the publication of the advertisement in the form of a data space on the www.banging.cz server in the scope and format as defined by a written or oral order, contract or other expression of the will of the contracting parties. External internet links are NOT allowed, both in text and graphic form.

2.3. If the advertiser has prepared the advertisement itself, he is fully responsible for its content. If the advertisement has been processed for the needs of another legal or natural person, the contracting authority and the processor are jointly and severally liable for its compliance with the law. The Distributor is not responsible for the content of such advertising.

2.4. The Client acknowledges that the advertiser is not responsible for the content of the advertisement or the veracity of the data contained in the advertisement and declares that this data is true and the content of the advertisement is in accordance with the wording of the relevant regulations of Czech law. No. 40/1995 Coll., on the regulation of advertising, as amended.

2.5. The Client expressly declares that it has all the necessary rights to use the trademarks and / or copyrights to all image and / or textual materials used in the ordered advertisement.

2.6. The contracting authority declares that it is aware that in the sense of the provisions of § 2 par. 3 of Act no. No. 40/1995 Coll. advertising must not be contrary to good morals, in particular it must not discriminate on grounds of race, sex or nationality or attack religious or national feelings, endanger morality in a generally unacceptable manner, reduce human dignity, contain elements of pornography, violence or elements of fear, and that advertising must not undermine political beliefs.

2.7. The contracting authority expressly declares that all persons depicted or appearing in or within the advertisement are over eighteen years of age.

2.8. At the request of the disseminator, the contracting authority is obliged to prove its identity and its authorization to act on behalf of the contracting authority. The disseminator of the advertisement is obliged to call the financial authoritiessupervision of the contracting authority and the processor for the purposes of administrative proceedings.

2.9. The contracting authority undertakes to compensate the disseminator for any damage caused by the publication of an advertisement that does not comply with the general requirements.

2.10. The distributor has the right to refuse to publish the advertisement, even without giving a reason.

2.11. The Distributor has the right to use the Client's textual and pictorial materials on its other marketing channels.

3. ADVERTISING PERIOD

3.1. The advertising period is in monthly intervals, either from the 1st calendar day of the month to the last calendar day of the month, or from the 16th calendar day of the month to the 15th calendar day of the following month.

3.2. It is necessary to inform the operator about the cancellation of non-standard advertising at least 5 working days before the end of the advertising period.

3.3. Payment for advertising must be made either in cash or credited to the broadcaster's account no later than the day before the start of the advertising period (the last day of the previous month or the 15th day of that month).

3.4. Payments received after the deadline will be treated as advance payments for the next advertising period and will not be posted until this upcoming period. In this case, the relevant presentation will also not start until the upcoming advertising period.

3.5. Payments of new clients received or received in the period from the 1st to the 7th calendar day in the month inclusive are recorded as payments for the current month, ie for the advertising period from the 1st calendar day of the current month to the last calendar day of the current month, payments of new clients received or received. received in the period from the 8th to the 15th calendar day in the month inclusive are recorded as payments for the advertising period from the 16th calendar day of the current month to the 15th calendar day of the following month. Similarly, payments received or received in the period from the 16th to the 22nd calendar day of the month are recorded as payments for the advertising period from the 16th calendar day of the current month to the 15th calendar day of the following month, payments received or received in the period from the 23rd to the the last calendar day of the month, they are recorded as for advertising period from the 1st calendar day to the last calendar day of the following month.

3.6. In the event that the disseminator refuses to publish the already paid advertisement, he will return the payment in full against the proof of payment at the establishment in Zlatnická 1, Prague 1.

3.7. If the advertiser cancels an advertisement that has already been paid for during the advertising period, the payment will not be refunded.

3.8. In the event that the contracting authority arranges advertising beyond the normal presentation of companies and persons, especially banner advertising, it is obliged to inform the disseminator of its possible cancellation at least 5 working days before the end of the agreed period. If they fail to do so, this ad will be automatically renewed for another monthly payment period.

3.9. For technical reasons, the presentation may be canceled by the disseminator as early as 17:00 on the last working day of the calendar period for which the presentation was paid for.

3.10. During one month's advertising period, it is possible to add or change a maximum of 2 people presented at one registered business.

4. FINAL PROVISIONS

The contracting authority declares that it has read these GTC and has fully and completely understood their content.
